NDA generator

A mutual or one-way NDA in plain clauses, ready to sign.

Examples

Mutual and one-way, for suppliers, contractors and partners. Click through four of them.

How it works

  1. Answer four questions

Who the parties are, what information is being shared, why, and how long it should stay confidential. A sentence each is enough.

  2. Check the draft

EverAsk drafts the agreement with definitions, obligations, exclusions, term and return of materials, and annotates each clause with what it means in practice.

  3. Export and sign

Download a Word file for the other side's lawyers or a PDF to send for signature. Save it as your standard NDA so the next one takes a minute.

Who it’s for

  • Signed before the call
    Mutual, English law

    Before a partnership call

Share a roadmap, pricing or technical detail with a potential partner once the conversation needs specifics.

  • Access granted
    After the NDA was signed

    Hiring contractors and freelancers

Protect client work, credentials and internal documents before a contractor gets access to them.

  • Specs sent for quoting
    Covered by clause 2

    Supplier and manufacturer talks

Send product specifications and designs to a manufacturer or supplier for quoting without handing over the details for free.

Frequently asked questions

Is this legal advice?

No. EverAsk drafts the NDA from your description and explains what each clause does. For a high-value or unusual agreement, have a qualified lawyer review it before signing.

What is the difference between a mutual and a one-way NDA?

A one-way NDA binds only the party receiving information. A mutual NDA binds both, for conversations where each side shares something confidential. EverAsk drafts either.

How long should an NDA last?

Terms of one to five years are common for general business information, while trade secrets are often protected for as long as they stay secret. You set the term and EverAsk states it explicitly.

Can I choose the governing law?

Yes. Name the jurisdiction and the governing law clause is drafted to match. Requirements vary by country, which is one more reason to have a lawyer check anything high-stakes.

What format does it export?

Word and PDF. The Word file keeps clean clause numbering so the other side can redline it in track changes.
