Founders, pool, a converted SAFE and the seed, fully diluted after the round.

How it works

  1. Add the founders and pool

Enter shareholders, share counts and the option pool. EverAsk calculates issued and fully diluted ownership as you type.

  2. Layer in the instruments

Add SAFEs or convertible notes with their cap and discount, then model a priced round. Conversions are calculated into the new share count.

  3. Compare scenarios

Try a different valuation, raise size or pool top-up and see ownership for every holder side by side, then export the version you want to share.

Who it’s for

    Founders before a first raise

Model the pre-seed and seed rounds together, so the SAFE you sign today is understood in terms of what you will own later.

Frequently asked questions

What should a cap table template include?

Every shareholder and share class, the option pool, outstanding SAFEs or notes, and ownership on both an issued and a fully diluted basis after each round.

Is the cap table template free?

Yes. There is a free plan available, and you can build, model and export a cap table on it.

Does it handle SAFEs and convertible notes?

Yes. Enter the cap, the discount and the SAFE type, and EverAsk converts them into the priced round with the calculation shown.

Can I export it to Excel?

Yes. Export to .xlsx or CSV with formulas intact, so the file keeps working outside EverAsk and anyone can audit it.

Is this a substitute for legal advice?

No. It is a starting model for understanding ownership and dilution. Check it with your lawyer or accountant before you sign anything, because the legal documents are what count.
